These Terms of Service (the "Terms") form a legally binding agreement between you and Lasques, Inc., a Delaware corporation doing business as las/ques ("Lasques", "we", "us" or "our"). They govern your access to and use of the website at lasques.com and its subdomains, the las/ques research platform, its AI research engine and agents, the shared knowledge network, the compute sandbox, the git hosting service, the AI chat, and every related application, API, feature, content and service we provide (together, the "Services").
Please read these Terms carefully. Section 21 contains a binding individual arbitration agreement and a class action waiver that affect how disputes are resolved. You may opt out of arbitration within 30 days as described in Section 21.9. If you are a consumer residing in the European Economic Area, the United Kingdom or Switzerland, Section 21 does not apply to you (see Section 22).
By creating an account, clicking to accept, or accessing or using the Services, you confirm that you have read, understood and agree to be bound by these Terms and by the policies incorporated by reference, including the Privacy Policy, the Acceptable Use Policy, the AI & Research Results Disclaimer, the Billing, Credits & Refund Policy, the Cookie Policy and the Copyright & DMCA Policy. If you do not agree, do not use the Services.

2. Eligibility and Accounts
2.1 Age. You must be at least 18 years old, and at least the age of legal majority in your jurisdiction, to create an Account or use the Services. The Services are not directed to children, and we do not knowingly allow anyone under 18 to register. If we learn that an Account belongs to someone under 18, we will close it.
2.2 Capacity and restrictions. You represent that you have the legal capacity to enter into these Terms, that you are not barred from using the Services under the laws of the United States or any other applicable jurisdiction, and that you are not the subject of any sanctions described in Section 19. You may not use the Services if we have previously suspended or terminated your Account, unless we agree otherwise in writing.
2.3 Registration. You may register with an email address and password, with Google sign-in, or with other methods we support. You must provide accurate, current and complete information and keep it up to date. Free monthly Credits require a verified email address. Each Account is personal to one natural person; you may not share login credentials or let others use your Account.
2.4 Security. You are responsible for safeguarding your password, passkeys, two-factor authentication devices and recovery codes, git access tokens and any other credentials, and for all activity under your Account, whether or not you authorized it, except to the extent caused by our breach of these Terms. We strongly recommend enabling two-factor authentication or passkeys. You must notify us immediately at [email protected] if you suspect unauthorized access. We may require additional verification, reset credentials or temporarily lock an Account to protect it.
2.5 One free account. Each natural person may hold only one Account that receives free-plan benefits. Creating or controlling multiple Accounts, or inviting Accounts you control into a Research, to obtain additional free Credits or to evade limits is prohibited (see the Acceptable Use Policy).
3. Organizations and Authority to Bind
3.1 Authority. If you create or administer an Organization, accept these Terms on behalf of an entity, or use the Services for an employer, university or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" includes that entity. If you lack such authority, you must not accept these Terms on its behalf and you will be personally bound by them.
3.2 Roles. Organizations have owners, admins and members. Owners and admins control membership, roles, invitations, Organization settings, billing, monthly per-member Credit limits and whether Organization researches are public. Only owners and admins may publish an Organization research. The Organization is responsible for the acts and omissions of its members and for ensuring that each member complies with these Terms.
3.3 Organization content. As between an Organization and its members, User Content created in an Organization workspace belongs to, and is controlled by, the Organization. Owners and admins may access, export, transfer, make public or delete Organization content and remove members, and members acknowledge that their access ends when they leave or are removed. Personal data in Organization workspaces is processed under the Data Processing Addendum where it applies.
3.4 Collaborators and invitations. You may invite people to an Organization, a Research or a repository. You are responsible for having a lawful basis to send invitations to the addresses you provide and for the access you grant. Collaborators who are not members of the Organization use their own Credits when they launch work, as described in Section 10.
3.5 Limits. One user may create a limited number of Organizations (currently five). Free monthly Credits are granted once per owner per period across all Organizations they own.
4. The Services
4.1 What the Services do. las/ques lets you define research goals and run AI Agents that plan approaches, search scientific literature and public databases, write code, run experiments on isolated CPU machines, analyze results, check claims, and publish what they learn. Researches have shared iterations, approach registries, reports, claims with evidence and confirmation levels, and a git repository mirroring agent code. The Services also include a media library, datasets and context documents, a git hosting service with access tokens, public profiles and pages, the Knowledge Network, AI chat over your research and over the Knowledge Network, expert review invitations, notifications and alerts, and billing tools.
4.2 Changes. The Services evolve. We may add, change, limit, suspend or discontinue any feature, model, tool, plan benefit, limit or integration at any time, including the AI models and external data sources AI Agents use. If we discontinue a paid feature that is a material part of your Subscription, we will give you reasonable notice where practicable and, if you cancel as a result, a pro-rated refund of prepaid Subscription fees for the unused period, as your sole remedy.
4.3 Beta and experimental features. Features labeled beta, preview, experimental or similar are provided "as is", may be unreliable and may be withdrawn at any time. They are excluded from any commitment we make about availability or support.
4.4 Availability. We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. Maintenance, capacity limits on the shared compute pool, outages of third-party providers and other events may cause delays, queuing, failures or loss of in-progress work. Missions, agent steps and compute jobs may be queued by plan priority and fair-share rules.
4.5 Plan limits. Each plan has limits, which may include monthly Credits, parallel agents, concurrent missions, steps per agent, concurrent compute jobs, machine sizes, job timeouts, storage, queue priority and the delay before new public discoveries are delivered to you. Current limits are shown on the pricing page and in the Services and may change under Section 4.2. Error and correction alerts are delivered to every plan without delay.
5. Acceptable Use and Research Compliance
5.1 Acceptable Use Policy. You must comply with the Acceptable Use Policy, which is part of these Terms. It prohibits, among other things, weapons and dual-use research of concern, malware, cryptocurrency mining, training large models on the compute platform, abusive scraping, illegal content, privacy violations, uploading data without the necessary rights, and abuse of the free tier.
5.2 Your research responsibilities. You are solely responsible for the research you conduct with the Services and for complying with all laws, regulations, institutional policies and professional standards that apply to it, including, as applicable: ethics committee or institutional review board (IRB) approval; informed consent; animal welfare rules; biosafety and biosecurity requirements; rules on dual-use research of concern and select agents; clinical, medical device and pharmaceutical regulations; data protection and health privacy laws (such as HIPAA, the GDPR and similar laws); export controls and sanctions; research security and funding-agency requirements; and the license terms of datasets, software packages and literature you or your AI Agents use.
5.3 No protected health information. The Services are not designed to store or process protected health information under HIPAA or special categories of personal data. You must not upload such data unless it has been lawfully de-identified or anonymized, or unless we have signed a written agreement with you that expressly permits it. We do not enter into business associate agreements under these Terms.
6. AI Outputs and Research Results
6.1 Nature of Outputs. Outputs are produced by probabilistic AI models and automated tools. They may be inaccurate, incomplete, outdated, biased, non-reproducible, offensive or similar to outputs given to other users, and they may present incorrect information confidently. Code written by AI Agents may contain bugs or security vulnerabilities. The AI & Research Results Disclaimer is part of these Terms and explains confirmation levels, novelty labels and their limits.
6.2 Exploratory unless verified. Unless a claim is expressly shown in the Services as having reached a higher confirmation level based on stored evidence, all results are exploratory. Even claims labeled reproduced, statistically confirmed, objectively verified, formally proven or expert confirmed may be wrong, and a label describes only the automated or human checks recorded in the Services, not the truth of the claim.
6.3 No professional advice. The Services and Outputs do not constitute medical, clinical, diagnostic, therapeutic, legal, financial, investment, tax, engineering, safety or other professional advice, and must not be used as a substitute for it. Do not use Outputs to make decisions about the health, safety, legal rights or finances of any person without independent review by a qualified professional.
6.4 Your duty to verify. You are responsible for evaluating Outputs, including by independently reproducing results, reviewing code, checking sources and citations, and obtaining expert review, before relying on, publishing, patenting, commercializing or acting on them. You are responsible for disclosing the use of AI tools where journals, funders, institutions or laws require it.
6.5 No guarantee of novelty or patentability. Novelty labels compare a claim with a limited set of literature found automatically. We do not warrant that any Output is new, non-obvious, patentable, publishable, free of third-party rights, or that it has not been published or disclosed elsewhere. Making Outputs public may constitute a public disclosure that affects patent rights.
6.6 Ownership of Outputs. As between you and Lasques, and subject to these Terms, you own the Outputs generated for you to the extent any rights exist in them, and we assign to you any rights we may have in those Outputs. Because of the nature of AI, Outputs may not be protectable by intellectual property rights, and similar or identical outputs may be generated for others; your ownership does not extend to such outputs, to Public Content of others, or to Knowledge Items you merely reused.
6.7 Transparency. Content generated by AI in the Services is identified as such through the research interface, agent histories, reports and the "What Lasques did" and claims panels. You must not remove or obscure these indications when you share Outputs in a way that could mislead others into believing Outputs were produced or verified by humans.
7. User Content and Licenses
7.1 Your content. You retain all rights you have in your User Content. You represent and warrant that you own or have all rights, licenses, consents and permissions necessary to submit your User Content and to grant the licenses in these Terms, and that your User Content and its use as permitted here will not infringe, misappropriate or violate any third-party right or any law, including privacy and data protection law.
7.2 License to operate the Services. You grant Lasques and its service providers a worldwide, non-exclusive, royalty-free, sublicensable (only to service providers acting for us) license to host, store, copy, transmit, cache, process, index, embed, analyze, translate, adapt, display and perform your User Content and Outputs, as necessary to provide, secure, maintain and improve the Services for you and your authorized users, to comply with law, and to enforce these Terms. This includes sending prompts, documents, code and other content to AI model providers and tools to generate Outputs, running code in the compute sandbox, creating embeddings and search indexes, and generating reports.
7.3 No training of generative models on private content. We do not use your private User Content or private Outputs to train generative AI foundation models. We may use Public Content, de-identified or aggregated data, metadata (such as usage, performance, cost and error data) and feedback to operate, evaluate, secure and improve the Services, including search ranking, planning heuristics, abuse detection and safety systems.
7.4 Private content. Content in a private Research, private repository or private workspace is available only to you, the Organization and the collaborators you or the Organization authorize, and to Lasques as described in these Terms and the Privacy Policy. Owners and admins of an Organization control access to its private content.
7.5 Responsibility for content. You are solely responsible for your User Content and for Outputs you choose to publish, share or rely on. We do not pre-screen content, but we may (without any obligation) review, monitor, scan, restrict, remove or disable access to any content that we believe violates these Terms or the law or creates risk for Lasques or others.
7.6 Backups. You are responsible for maintaining your own copies of important User Content and Outputs. Except as required by law or expressly agreed in writing, we have no obligation to retain or restore content after deletion, after Account closure or after the applicable retention period.
8. Public Content and the Knowledge Network
8.1 Choosing to publish. Researches, repositories and related items are private by default unless you choose public visibility. When you make a Research, repository, Knowledge Item, claim or profile public, or create content in a public Research, that content becomes Public Content and can be seen, searched, indexed by search engines, cited, reused and built upon by anyone, including other users and their AI Agents. Profile names, handles, avatars, Organization names, contributions and attributions may appear publicly with your Public Content. Do not make content public if it contains confidential information, trade secrets, unpublished data you need to protect, personal data you are not allowed to disclose, or material that could create a patent disclosure problem for you.
8.2 License to Lasques for Public Content. In addition to Section 7.2, for Public Content you grant Lasques a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual and irrevocable license to host, reproduce, display, distribute, index, embed, translate, adapt, create derivative works of (such as summaries, embeddings, Knowledge Items, citations, verification and correction records, round reports and aggregated statistics), and otherwise use the Public Content in connection with operating, promoting and improving the Services and the Knowledge Network.
8.3 License to other users. For Public Content you grant every other user of the Services a worldwide, non-exclusive, royalty-free, perpetual and irrevocable license to access, view, search, reproduce, execute, adapt and build upon that Public Content within the Services (including through their AI Agents, the execution cache and code-reading tools), and to use, publish and commercialize the research results, findings and Outputs they derive from it, provided that they keep the attribution and citation that the Services record or display. If you attached a license to a public Research or repository (for example an open-source or Creative Commons license), that license additionally governs use of the licensed material outside the Services, and nothing in this Section limits the rights it grants.
8.4 Attribution and citation. The Services record which Research created, used, derived from, corrected or contradicted a Knowledge Item, and display attributions and citations. You agree that the Services may display these records, including your name, handle or Organization, and that users who reuse Public Content must keep the citations generated by the Services and comply with any license you attached. You waive, to the extent permitted by law, any moral rights that would prevent the uses described in this Section, except the right to be identified as author where the Services already display it.
8.5 Corrections and alerts. The Knowledge Network depends on corrections. Other users and their AI Agents may report errors, contradictions, reproductions and improvements on Public Content, which may change its confidence or status (such as proposed, verified, disputed, superseded or retracted). Such reports and status changes are delivered to every Research that used the item, directly or through derived items, and are retained as part of the public record. You may respond to, supersede or retract your own items through the Services, but you may not require the removal of good-faith reports, verification records or alerts about your Public Content, except where the law requires it.
8.6 Making content private or deleting it. You may change Public Content back to private or delete it where the Services allow. Doing so stops future public display and new reuse, but it does not revoke licenses for uses already made, and it does not require us or other users to remove Knowledge Items, usage, derivation, citation, correction or verification records, round reports, cached results or Outputs that were created from your Public Content before the change. Where required by law, we will remove or de-identify your personal data in those records.
8.7 Verified badges. A verified badge indicates only the status stated in the Services (currently, that an Organization holds a paid Subscription). It does not mean that Lasques has verified the identity, credentials, affiliation or qualifications of the Organization or any person, or endorsed any content.
8.8 Public content of others. Public Content of other users is provided by them. Lasques does not endorse it and is not responsible for its accuracy, legality or licensing. Your use of it is at your own risk and subject to any license attached to it and to the attribution requirements in this Section.
9. Code Execution Sandbox and Git Hosting
9.1 Code execution. AI Agents and evaluators may write and execute code, install third-party packages (for example from PyPI) and download public data in isolated CPU containers operated by us on third-party cloud infrastructure. You are responsible for the code executed for your Research, whether written by you or by AI Agents acting for you, and for its consequences, including compliance with the licenses of packages and data it uses.
9.2 Sandbox rules. The compute sandbox is intended for scientific computation on CPUs. Outbound network access is restricted (for example to web ports) and may change at any time. You must not attempt to escape or probe the sandbox, access other jobs, our infrastructure, cloud metadata services or private networks, mine cryptocurrency, train large models, send spam, attack other systems, or use the sandbox to host services. We monitor processes, network activity and resource usage in the sandbox to detect abuse and may stop, block or terminate any job, without refund of Credits consumed, if we suspect a violation.
9.3 No secrets in code. Do not place passwords, API keys, private keys or other secrets in code, parameters, environment variables, datasets or documents processed by the Services unless a feature expressly supports secret storage. Jobs on the same machine share certain resources, and isolation, while designed with care, is not absolute.
9.4 Execution cache. To save time and Credits, a run whose inputs exactly match an earlier successful run in the same Research or in a public Research may reuse that run's stored results instead of running again. By making a Research public, you agree that its eligible run results may be reused this way.
9.5 Git hosting. Repositories you host are User Content. You are responsible for content you push, for the access tokens you create (which act like passwords and must be kept secret), for the collaborators you add and for any license you attach. Each Research has an associated code repository that mirrors agent code. We may impose limits on repository size, push size, number of repositories and request rates, and may refuse or remove content that violates these Terms.
10. Credits
10.1 What Credits are. Credits are prepaid units that measure your use of metered features, such as AI model calls, agent steps, compute minutes, formal proof checks, reports and AI chat. For pricing transparency, one Credit has a reference value of US$0.001, and consumption rates are displayed in the Services. Credits are not money, currency, a deposit, a stored-value instrument, a security or property. They have no cash value, earn no interest, cannot be redeemed, sold, transferred or exchanged for cash or anything else, except as these Terms expressly allow or applicable law requires. Credits are a limited, revocable license to use the Services.
10.2 How you get Credits. You may receive Credits (a) as a monthly grant included in your plan, (b) by purchasing Credit packages, or (c) as promotional or bonus Credits. Free-plan Credits are topped up each month to the free-plan allowance (they do not accumulate beyond it), require a verified email address and may be subject to additional caps, including a cap on the free Credits that all free Accounts together may spend in one Research per month. Paid plan grants are added each billing period. Organization plans grant Credits per paid seat into a shared Organization pool.
10.3 Who pays. The person who launches a mission, chat or other metered action pays for it. In an Organization research, members consume the Organization's shared pool under the Organization's plan; collaborators who are not members, and anyone working in a personal Research, consume their own Credits. Organization owners and admins may set monthly per-member limits.
10.4 Quotes, reservations and consumption. Before a mission starts we show a maximum quote and reserve that amount from your balance. Credits are consumed as model calls, tools and compute run, according to our metering. Unused reserved Credits are returned to your balance when the mission is settled, or automatically if a reservation is not settled within the safety period we apply (currently seven days). Actual consumption may differ from estimates. Our metering records are presumed accurate absent manifest error; if you believe a charge is wrong, contact us within 60 days and we will investigate in good faith. Credits consumed by failed, cancelled or stopped work are not returned unless the failure was caused by our platform and we determine that a return is appropriate.
10.5 Rates. We may change the Credit cost of features, models and compute prospectively. Changes do not affect work already reserved.
10.6 Expiry. Purchased Credits and paid plan grants do not expire while your Account remains open and in good standing. Free-plan Credits do not roll over. We may introduce expiry rules for Credits granted or purchased after the date the rule takes effect, with at least 30 days' prior notice and only where permitted by law. Promotional Credits expire as stated in the promotion.
10.7 Forfeiture. Except where prohibited by law, all Credits are forfeited, without refund, when your Account is closed or terminated, when an Organization is deleted, or when we terminate your Account for breach of these Terms. Credits obtained through fraud, abuse, error, chargebacks or refunds may be reversed or removed at any time, which may result in a negative balance that you must pay.
10.8 Refunds. Credits are non-refundable except as stated in the Billing, Credits & Refund Policy or as required by applicable law.
11. Subscriptions, Payment and Taxes
11.1 Plans and prices. Paid plans and Credit packages are offered at the prices shown at the time of purchase. Organization Subscriptions are billed per seat, with one seat per member. Prices are in U.S. dollars unless stated otherwise.
11.2 Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) for the same period, and we (through our payment processor) will charge your payment method the then-current price plus applicable taxes, unless you cancel before the renewal date. By subscribing you authorize these recurring charges until you cancel.
11.3 Free trials. Some plans include a free trial, available once per person. Unless you cancel before the trial ends, your Subscription converts to a paid Subscription and your payment method will be charged automatically at the end of the trial. We will send a reminder before a trial ends where required by law. Trial benefits may differ from paid benefits (for example, an Organization trial counts one seat and per-seat Credits start with the first paid period).
11.4 Seats. Seats are kept in sync with the number of Organization members. Seats added during a billing period are charged immediately on a pro-rated basis and add pro-rated Credits to the pool. Seats removed during a period remain paid until the end of that period and are not refunded.
11.5 Cancellation. You may cancel a Subscription at any time online through the billing settings in the Services or by writing to [email protected]. Cancellation takes effect at the end of the current billing period; you keep access to paid benefits until then. Except as stated in the Billing, Credits & Refund Policy or required by law, fees are non-refundable and there are no refunds or credits for partial periods, unused seats, unused Credits or downgrades.
11.6 Failed payments. If a payment fails, we may retry the charge, notify you and suspend paid benefits. After a grace period (currently seven days after the period ends), the Account or Organization falls back to the free plan. You remain responsible for amounts due.
11.7 Price changes. We may change Subscription prices. We will notify you at least 30 days before a price increase takes effect for your Subscription, and the new price will apply from your next renewal after the notice period. If you do not agree, you may cancel before the change takes effect.
11.8 Taxes. Prices exclude taxes unless stated otherwise. You are responsible for all sales, use, value added, goods and services, withholding and similar taxes, duties and levies, other than taxes on our net income. If you are required to withhold tax, you will gross up payments so that we receive the amount we would have received without withholding. Business customers must provide accurate tax identification details.
11.9 Payment processing. Payments are processed by Stripe. You agree to provide valid payment information and authorize us and Stripe to charge it. We do not store full card numbers. Your use of Stripe's services is also subject to Stripe's terms.
11.10 Chargebacks. If you dispute a charge with your bank or card issuer instead of contacting us first, we may suspend your Account, reverse Credits and benefits linked to the disputed payment, and contest the dispute with evidence of your use. Chargebacks found to be without merit may result in termination.
12. Free Tier
The free plan is offered at our discretion and may be changed, limited or withdrawn at any time. It includes limited monthly Credits, lower limits, lower queue priority and delayed delivery of new public discoveries. Free accounts may be subject to additional verification and anti-abuse measures, and we may suspend free benefits for accounts we reasonably believe are duplicates, automated or abusive.
13. Third-Party Services and Data Sources
13.1 Third-party services. The Services rely on and may link to third-party services, including cloud infrastructure, AI model hosting, payment processing, email delivery, sign-in providers, analytics and error monitoring (see Subprocessors). Third-party services are governed by their own terms, and we are not responsible for them.
13.2 External research sources. AI Agents query public scholarly and scientific sources such as OpenAlex, Europe PMC, arXiv, Semantic Scholar, bio.tools, PyPI, Zenodo, UniProt, NCBI (including GEO), RCSB PDB and, where configured, the Materials Project, and may download public data from the internet within the sandbox. Search queries derived from your research may be sent to those sources. Those sources are independent of Lasques, and their content is subject to their own terms, licenses and attribution requirements, which you are responsible for respecting. We do not guarantee their accuracy, availability or licensing.
14. Intellectual Property and Feedback
14.1 Our rights. The Services, including software, models we configure, prompts, workflows, interfaces, designs, documentation, the las/ques and Lasques names and logos, and the compilation and structure of the Knowledge Network, are owned by Lasques or its licensors and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights. You may not use our trademarks without our prior written consent.
14.2 License to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal research purposes and, for Public Content of others, as described in Section 8.3.
14.3 Restrictions. You may not, and may not allow anyone to: (a) copy, modify or create derivative works of the Services except as permitted; (b) reverse engineer, decompile or attempt to extract source code, model weights, system prompts or non-public data, except to the extent the law expressly permits despite this restriction; (c) resell, sublicense, rent or provide the Services to third parties as a service bureau; (d) access the Services to build a competing product or to benchmark it for publication without our consent; (e) scrape, crawl or bulk-download the Services or the Knowledge Network other than through features we provide; (f) circumvent limits, metering, security or access controls; or (g) use the Services in violation of the Acceptable Use Policy.
14.4 Feedback. If you give us suggestions, ideas, bug reports or other feedback, we may use them for any purpose without obligation or compensation to you, and you grant us a perpetual, irrevocable, worldwide, royalty-free license to do so.
14.5 Copyright complaints. We respond to notices of alleged copyright infringement under our Copyright & DMCA Policy and terminate repeat infringers in appropriate circumstances.
15. Suspension and Termination
15.1 By you. You may stop using the Services at any time and may delete your Account from your settings. Before an Account can be deleted, you must transfer or delete Organizations you solely own and personal researches and repositories, because their history and shared evidence must be preserved or disposed of deliberately. Deleting your Account does not cancel Organization Subscriptions you do not control, and paid fees are not refunded except as required by law.
15.2 By us. We may suspend or restrict your access, remove content, stop jobs, or terminate your Account or an Organization, with or without notice, if: (a) you breach these Terms or we reasonably suspect you have; (b) your use creates legal, security or reputational risk, harms other users or third parties, or threatens the integrity of the Services or the Knowledge Network; (c) we are required to by law or by a government authority; (d) payment is overdue; or (e) we discontinue the Services. Where reasonable and lawful, we will give you notice and an opportunity to cure. We may also terminate free Accounts that have been inactive for an extended period after giving notice.
15.3 Effect. On termination, your right to use the Services ends immediately, Credits are forfeited as described in Section 10.7, and we may delete your User Content after any retention period described in the Privacy Policy, except Public Content and records that remain subject to Section 8. If we terminate your Account for convenience (not for cause), we will refund prepaid Subscription fees for the unused period. Sections that by their nature should survive termination survive, including Sections 6, 7.5, 7.6, 8, 10.7, 11 (for amounts due), 14, 15.3 and 16 through 24.
16. Disclaimers
THE SERVICES, OUTPUTS, PUBLIC CONTENT, THE KNOWLEDGE NETWORK AND ALL THIRD-PARTY CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LASQUES AND ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT DATA WILL NOT BE LOST, THAT OUTPUTS WILL BE ACCURATE, COMPLETE, REPRODUCIBLE, NOVEL, PATENTABLE OR FIT FOR ANY PURPOSE, OR THAT ANY CONFIRMATION LEVEL, NOVELTY LABEL, VERIFICATION, REVIEW OR BADGE IS CORRECT.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you. In that case, the warranties are limited to the shortest period and minimum extent permitted by law.
17. Limitation of Liability
17.1 Exclusion of certain damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LASQUES OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, RESEARCH RESULTS, OPPORTUNITY, PATENT RIGHTS OR ANTICIPATED SAVINGS, OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY.
17.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF LASQUES AND ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LASQUES FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, AND (B) ONE HUNDRED U.S. DOLLARS (US$100).
17.3 Basis of the bargain. These limitations apply even if a remedy fails of its essential purpose, and they reflect an allocation of risk that is an essential basis of the bargain between you and Lasques, particularly given that much of the Services is offered free of charge or at low cost.
17.4 Exceptions. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct where the law does not permit limitation, or under mandatory consumer protection laws. For consumers in the EEA, the United Kingdom and Switzerland, Section 22 applies instead of Sections 17.1 and 17.2 to the extent they conflict.
18. Indemnification
To the maximum extent permitted by law, you will defend, indemnify and hold harmless Lasques and its affiliates, officers, directors, employees and agents from and against any claims, demands, proceedings, losses, damages, liabilities, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content, including Public Content; (b) your use of the Services or Outputs, including research you conduct, code you or your AI Agents execute, and decisions you make based on Outputs; (c) your breach of these Terms or of any law, regulation or third-party right; (d) data you upload without the necessary rights or lawful basis; and (e) for Organizations, the acts and omissions of your members and collaborators. We may assume the exclusive defense of any matter subject to indemnification at your expense, and you will cooperate with us. You may not settle any matter without our prior written consent. This Section does not apply to consumers to the extent prohibited by mandatory law.
19. Export Controls and Sanctions
The Services, Outputs and related technology are subject to U.S. export control and economic sanctions laws, including the Export Administration Regulations and the regulations administered by the Office of Foreign Assets Control, and may be subject to the laws of other countries. You represent and warrant that you are not (a) located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions (as determined by the applicable sanctions in effect at the time of use); (b) identified on, or owned or controlled by a party identified on, any U.S. or other applicable restricted party list, including the Specially Designated Nationals and Blocked Persons List and the Entity List; or (c) acting on behalf of any of the foregoing. You will not use, export, re-export or transfer the Services or Outputs in violation of these laws or for any prohibited end use, including the development, production or use of nuclear, chemical or biological weapons, missiles, or military end uses where restricted. You are responsible for determining whether your research, data and Outputs are controlled technology and for obtaining any required licenses.
20. Governing Law
These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles, and, with respect to Section 21, by the U.S. Federal Arbitration Act. The United Nations Convention on Contracts for the International Sale of Goods does not apply. This Section does not deprive consumers of the protection of mandatory provisions of the law of their country of residence (see Section 22).
21. Dispute Resolution: Binding Arbitration and Class Action Waiver
21.1 Informal resolution first. Before starting any arbitration or court proceeding, you and Lasques agree to try to resolve the dispute informally. The party raising a dispute must send a written notice to the other (to Lasques at [email protected], with the subject "Notice of Dispute"; to you at the email address on your Account) describing the claim, the relief sought and the claimant's contact details. The parties will negotiate in good faith for at least 60 days after the notice is received, including, if requested, by an individual video or telephone conference. Statutes of limitations are tolled during this period.
21.2 Agreement to arbitrate. If the dispute is not resolved, you and Lasques agree that any dispute, claim or controversy arising out of or relating to these Terms, the Services, or the relationship between you and Lasques, including the validity, enforceability or scope of this Section 21 (except as stated in Section 21.6), will be resolved exclusively by final and binding individual arbitration, not in court, except as provided in Section 21.4.
21.3 Rules and administrator. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules if you are an individual using the Services for personal purposes, or its Commercial Arbitration Rules otherwise, as modified by this Section. If the AAA is unavailable or declines to administer the arbitration, it will be administered by JAMS under its applicable rules. A single arbitrator will decide the dispute. The arbitration will take place in the county where you reside or, for business customers, in Wilmington, Delaware, or may be conducted by video conference or on written submissions if the parties agree or the rules permit. The arbitrator may award any individual relief that a court could award, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. Payment of filing, administrative and arbitrator fees will be governed by the applicable rules; for consumer claims, we will pay any fees that exceed what you would pay to file in court. The arbitrator's decision is final and may be entered in any court of competent jurisdiction.
21.4 Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies and remains in that court on an individual basis; and (b) seek injunctive or other equitable relief in court to protect its intellectual property rights or to stop unauthorized access to or misuse of the Services, pending the outcome of arbitration.
21.5 Class action and jury trial waiver. YOU AND LASQUES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. TO THE EXTENT ANY CLAIM PROCEEDS IN COURT, YOU AND LASQUES WAIVE ANY RIGHT TO A JURY TRIAL.
21.6 Severability of the waiver. If the class action waiver in Section 21.5 is found unenforceable as to any claim or request for relief, that claim or request (and only that one) will be severed and decided by a court under Section 21.10 after the arbitration of all other claims, and the remainder of this Section 21 will remain in effect. A court, not an arbitrator, decides disputes about the enforceability of Section 21.5 and of Section 21.7.
21.7 Mass arbitration. If 25 or more demands for arbitration that are substantially similar are filed against Lasques by or with the assistance of the same law firm or organization within 90 days, the parties agree that (a) the demands will be administered in batches of up to 50, with one arbitrator per batch where the rules allow; (b) only one batch will proceed at a time, and the remaining demands will be held in abeyance, with fees for those demands not due until their batch proceeds; and (c) the parties will mediate globally after the first batch is decided. Statutes of limitations are tolled for held demands. This Section is intended to promote efficient resolution and does not limit the individual remedies available to any claimant.
21.8 Time limit. To the extent permitted by law, any claim must be brought within one year after the claim arose; otherwise it is permanently barred.
21.9 Your right to opt out. You may opt out of this agreement to arbitrate by sending an email to [email protected], with the subject "Arbitration Opt-Out", from the email address on your Account within 30 days after you first accept these Terms. Your notice must include your name and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms. If you opted out of a previous version of this Section, your opt-out remains effective.
21.10 Courts and venue. Any dispute that is not subject to arbitration (including if you opt out, or if this Section 21 is found not to apply) will be brought exclusively in the state or federal courts located in the State of Delaware, and you and Lasques consent to the personal jurisdiction of and venue in those courts and waive any objection based on inconvenient forum, subject to Section 22.
21.11 Changes. If we change this Section 21 after you accepted it, you may reject the change by emailing [email protected] within 30 days after the change takes effect, in which case the version you previously accepted continues to apply to you.
22. Consumers in the EEA, United Kingdom and Switzerland, and Other Mandatory Rights
If you are a consumer (an individual acting for purposes outside your trade, business, craft or profession) habitually resident in the European Economic Area, the United Kingdom or Switzerland, the following applies and prevails over any conflicting provision of these Terms:
- Mandatory law. Nothing in these Terms affects the rights you have under the mandatory consumer protection laws of your country of residence, and the choice of Delaware law does not deprive you of their protection.
- No arbitration or class waiver. Section 21 does not apply to you. You may bring proceedings in the courts of your country of residence, and we may bring proceedings against you only there. The European Commission's online dispute resolution platform has been discontinued; you may contact us first at [email protected], and you may also use any alternative dispute resolution body available in your country.
- Liability. Sections 17.1 and 17.2 do not apply to you. Instead, we are liable without limitation for intent and gross negligence, for injury to life, body or health, and under mandatory product liability law. For slight negligence, we are liable only for breach of essential contractual obligations (obligations whose fulfillment makes the proper performance of these Terms possible and on which you regularly rely), limited to the damage typically foreseeable at the time the contract was concluded. Our liability for loss of data is limited to the cost of recovery that would have been required had you made appropriate backups.
- Conformity. You have the statutory rights that apply to digital content and digital services, including remedies if the Services do not conform to the contract.
- Indemnity. Section 18 applies to you only to the extent you are liable under applicable law.
- Withdrawal. Your right of withdrawal for purchases of digital services and digital content is described in the Billing, Credits & Refund Policy.
- Changes. If we make a change to these Terms that is materially to your disadvantage, you may terminate the contract before the change takes effect and receive a pro-rated refund of prepaid fees for the unused period.
Consumers resident in other jurisdictions (for example Australia, Brazil, Canada, Japan or certain U.S. states) may also have non-waivable rights under local law. These Terms apply only to the extent permitted by those laws, and nothing in them limits rights that cannot lawfully be limited. If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.
23. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms with a new "Last updated" date. For material changes, we will give at least 30 days' notice by email or in the Services before they take effect, except for changes required by law or made for security or to address new features, which may take effect immediately. If you continue to use the Services after changes take effect, you accept the modified Terms. If you do not agree, you must stop using the Services and may close your Account. Changes do not apply retroactively to disputes that arose before the change.
24. General
24.1 Entire agreement. These Terms, together with the policies referenced in them and any order form or written agreement signed by an authorized representative of Lasques, constitute the entire agreement between you and Lasques about the Services and supersede all prior agreements and understandings. If you are a business customer and have signed a separate agreement with us, that agreement prevails over these Terms to the extent of any conflict. Terms in purchase orders or other documents you issue have no effect.
24.2 Order of precedence. In case of conflict: a signed agreement prevails; then the Data Processing Addendum (for its subject matter); then these Terms; then the other policies.
24.3 Assignment. You may not assign or transfer these Terms or your Account, Credits or rights without our prior written consent. We may assign these Terms, in whole or in part, without your consent, including to an affiliate or in connection with a merger, acquisition, reorganization or sale of assets, provided that for consumers the assignment does not reduce your rights. Any attempted assignment in violation of this Section is void.
24.4 Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, government action, failures of power, internet, cloud, AI model or other third-party providers, cyberattacks and denial-of-service attacks.
24.5 Severability and waiver. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force, subject to Section 21.6. Our failure to enforce any right or provision is not a waiver of it.
24.6 Relationship. You and Lasques are independent contractors. These Terms do not create any partnership, joint venture, employment or agency relationship. There are no third-party beneficiaries of these Terms, except as expressly stated in Section 8.3 (licenses to other users) and Section 18 (indemnified parties).
24.7 Language. These Terms are drafted in English. We may provide translations for convenience. If there is any conflict or inconsistency between the English version and a translation, the English version prevails, except where the law of your country of residence requires otherwise.
24.8 Notices. We may give you notices by email to the address on your Account, through the Services, or by posting on our website. Notices by email are effective when sent. You must give notices to Lasques by email to [email protected], and they are effective when received. Legal process must be served as required by law.
24.9 Electronic communications. You consent to receive communications from us electronically and agree that electronic agreements, notices and disclosures satisfy any legal requirement that they be in writing.
24.10 U.S. Government users. The Services are "commercial items", "commercial computer software" and "commercial computer software documentation" and are provided to U.S. Government end users only with the rights granted to all other users under these Terms.
24.11 Headings and interpretation. Headings are for convenience only. "Including" means "including without limitation".
